Withroom terms of service
Updated 12 October 2026
These Terms of Service ("Terms") are an agreement between you and MinuteWork AI, Inc., a Delaware corporation ("Withroom", "we", "us"). They cover your use of Withroom:
- the websites at withroom.ai and its subdomains;
- the Withroom apps;
- Jarvis, the assistant built into Withroom, and the assistants companies run in their own spaces;
- Withroom's text messages and email;
- the connectors and tools that let other AI agents work in Withroom.
Together, these are the "Service". By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you agree for that organization too, and confirm you're authorized to.
1. Early access
The Service is in early access.
- Features may change. They may change, break or be removed, sometimes without notice.
- Not everyone is admitted. We admit people from the early-access list in batches, and may decline or withdraw access at our discretion.
- Tell us what goes wrong. We'd like to hear when something doesn't work. See section 12 for how we use feedback.
2. Who can use Withroom
- Age. You must be at least 18 years old.
- Location. You must live in the United States. Early access isn't offered elsewhere.
- Eligibility. You must not be barred from using the Service under US law.
- One account. You may keep one personal account. Don't create accounts by automated means, or to collect sign-up credits more than once.
3. Your account
- How you sign in. You sign in with a code sent to your email address, and with a passkey on your device for sensitive actions.
- Keep it secure. Keep your email account and devices secure. You're responsible for activity under your account.
- Tell us of misuse. Contact us promptly at security@withroom.ai if you think someone else is using your account.
- Recovery. If you lose your passkey, you can recover through email. In a company space, an owner may also be able to help. Some settings, such as what Jarvis may do for you, are turned off again after a recovery until you confirm them with a new passkey.
4. Spaces, members and roles
Withroom organizes work into spaces: your home space, which is private to you, and shared spaces, such as a company's. The person who creates a space is its owner.
Owners and admins control their spaces. They can:
- invite and remove members;
- set roles and permissions;
- decide whether Jarvis or the company's assistant may read or act there;
- decide which tools and agents may run there;
- connect the space to other spaces.
Members see what's shared with them. What you post in a space or room is visible to the members who can see that space or room, including members who join later, unless the room says otherwise.
Company spaces. If you join a company space, the company controls it and its content. That includes content you post there. When you leave or are removed, you lose access to it.
Connections between spaces. When two spaces connect, people in each can exchange messages and files in a shared room. Each side controls what its own members and agents may do there.
5. Your content
What it covers. "Your content" is what you or your agents put into the Service:
- messages, files and photos;
- instructions to Jarvis and other assistants;
- results that you or your agents produce.
You keep your rights. Your content stays yours, and you're responsible for having the right to share it.
The licence you give us. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display your content. It's limited to operating and securing the Service for you and the people you share with, and it ends when your content is deleted, except for content we must keep under a legal hold.
Who at Withroom sees it. As the Privacy Policy describes, people at Withroom don't open your content unless you ask us to, to investigate abuse or a security problem, or when the law requires it.
What we don't do with it.
- We don't use your content to train AI models.
- In the Withroom app at agents.withroom.ai, our AI providers agree not to train on it either (see section 7).
What you shouldn't put in. Don't put content into Withroom that you're not allowed to share, or that's subject to special rules we haven't agreed to in writing. For example: health records covered by HIPAA, payment card numbers, or government ID numbers.
6. Jarvis and other AI agents
What Jarvis is. Jarvis is an AI assistant that works on your behalf. It acts only within what you allow, and only within what the space's owner allows. It never has more access than you.
- It can read what you can read in spaces where Jarvis is turned on.
- It can draft and propose.
- With your instruction or confirmation, it can take actions in Withroom for you.
Company assistants. A company's assistant works for that company, inside what the company allows. Its messages to anyone outside the company wait for a person's approval unless the company has set otherwise.
Confirmations. Some actions need your explicit confirmation. Some need your passkey. Some an assistant is never allowed to take.
Treat AI output as a draft.
- It can be wrong. AI output can be incomplete, out of date, or confidently wrong.
- Check before you rely on it. Review it before you rely on it, send it, or act on it, especially for legal, medical, financial or safety matters.
- It isn't advice. An assistant's output isn't professional advice.
You're responsible for what you approve. When you confirm an action, or set up a rule that lets an assistant act without asking, that action is yours: for example, a message sent. The same goes for actions your other agents take with the access you gave them.
Other people's content. Content from other people, websites, documents and emails can try to trick an AI into doing something you didn't ask for. Withroom treats such content as information, never as instructions, and limits what assistants can do with it. No safeguard is perfect, so keep confirmations on for anything that matters.
Turning Jarvis off. You can turn Jarvis off for yourself at any time. A space's owner can turn it off for that space.
Your own agents. You can connect your own AI agents and tools to Withroom, such as Claude, Codex or other agents. You're responsible for them. The terms of their providers also apply to them.
7. Third-party services
The Service relies on third-party providers:
- AI model providers, through a routing service;
- messaging carriers and Twilio;
- email delivery;
- hosting and file storage.
For the Withroom app at agents.withroom.ai, we choose AI providers that agree not to keep or train on what we send them. The Privacy Policy lists them, and notes how our experimental apps differ.
We aren't responsible for third-party services, websites or content that the Service links to or retrieves.
8. Credits
What credits are. Assistants' work (AI model use) is paid for with credits, shown in US dollars.
Free credits:
- new accounts get a sign-up credit;
- verifying a mobile number gets a one-time additional credit;
- the amounts are shown in the app.
Free credits are promotional:
- no cash value;
- can't be transferred or refunded;
- limited to one per person and per phone number;
- may expire or change as stated when granted.
We may withhold or reverse credits obtained by abuse.
Charges and limits.
- Usage is charged against your credits at the rates shown in the app.
- Daily and per-task limits apply.
- When credits run out, assistants pause until more credit is available.
9. Text messages
If you've opted in, Withroom texts you verification codes and the alerts you choose. The SMS Terms cover text messages, including how to stop them, and are part of these Terms.
10. Acceptable use
Don't use the Service, or let your agents use it, to:
- break the law, or infringe or misappropriate others' rights;
- harass, threaten, defraud or impersonate anyone, or send spam or unsolicited messages;
- access accounts, data or systems without authorization, or test the Service's security without our written permission (report vulnerabilities to security@withroom.ai);
- interfere with or overload the Service, get around its limits, credits, rate limits or safety checks, or use it to build a competing product by copying it;
- collect other people's personal information without a lawful basis;
- generate content that sexually exploits minors, promotes violence, or is otherwise illegal;
- make decisions with legal or similarly significant effects on people (for example about credit, housing, employment or insurance) based solely on an assistant's output.
We may remove content, pause assistants, or suspend accounts that break these rules.
11. Our intellectual property
We own the Service: its software, design, and the Withroom and Jarvis names and logos. These Terms don't give you rights to them, except the right to use the Service as allowed here. Don't remove our notices, or reverse-engineer the Service except where the law allows.
12. Feedback
If you send us ideas or feedback, we may use them without obligation to you.
13. Suspension and ending
Your choices. You can stop using the Service and leave spaces at any time. In the Withroom app at agents.withroom.ai, you can delete your account at any time (You → Delete account), or by emailing privacy@withroom.ai. The Privacy Policy says what deletion erases and what stays in company and shared spaces, and, in section 5, how the experimental apps differ.
Ours. We may suspend or end your access if:
- you break these Terms;
- we must, to comply with law;
- your use creates risk for others;
- we end the early access.
Where it's reasonable, we'll tell you first and let you export your content.
After it ends. We delete your data as the Privacy Policy describes. These sections still apply: 5 (the licence, until your content is deleted), 8 (amounts owed), 11, 12 and 14–18.
14. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied:
- merchantability;
- fitness for a particular purpose;
- title and non-infringement.
We don't promise the Service will be uninterrupted, error-free or secure, or that AI output will be accurate.
15. Limitation of liability
To the fullest extent the law allows, Withroom won't be liable for:
- indirect, incidental, special, consequential or punitive damages;
- lost profits, revenue, data or goodwill.
Our total liability for all claims about the Service is limited to the greater of:
- the amount you paid us in the 12 months before the claim;
- or $100.
Some places don't allow these limits, so they may not apply to you.
16. Indemnity
You'll defend and indemnify Withroom against third-party claims arising from:
- your content;
- your use of the Service, or your agents' use of it;
- your breach of these Terms.
17. Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Courts in Los Angeles County, California have exclusive jurisdiction, except that either party may bring a claim in small-claims court.
18. General
Changes to these Terms. We may update these Terms. For material changes, we'll tell you by email or in the app at least 14 days before they take effect, unless the change is required by law or fixes a security issue. If you keep using the Service after that, you accept the change.
Other terms:
- These Terms, the Privacy Policy and the SMS Terms are the whole agreement between us about the Service.
- If a provision is unenforceable, the rest still applies.
- Not enforcing a provision isn't a waiver.
- You may not assign these Terms without our consent. We may assign them in a merger or sale.
